1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vurrk ("Company," "we," "us," or "our") governing your access to and use of the Vurrk platform, including our website, applications, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include that organization.

2. Description of Service

Vurrk provides trust infrastructure for independent professionals, including but not limited to:

  • Invoice Creation and Management: Create, send, and track billing records for your clients.
  • Shadow Ledger: Document and verify off-platform work through client confirmations.
  • Trust Score: A calculated metric reflecting your verified work history and reliability.
  • Payment Processing: Optional payment collection via Stripe with escrow protection.
  • Public Profile: A shareable profile displaying your Trust Score and verified records.
  • API Access: Programmatic access to create and retrieve data.

The Service is not a marketplace, staffing agency, or employment service. We do not match freelancers with clients, guarantee work opportunities, or act as an employer.

3. Eligibility and Account Registration

3.1 Eligibility. You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Creation. To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.4 Account Restrictions. You may not:

  • Create multiple accounts for the same individual or entity
  • Use another person's account without permission
  • Transfer your account to another person without our consent
  • Use false or misleading information in your account

4. Verified Records and Immutability

4.1 Purpose of Verification. The core function of Vurrk is to create verified, trustworthy records of professional work. This verification is what makes the Trust Score meaningful.

4.2 Immutability. Once a record has been verified (through client confirmation, payment completion, or other verification mechanisms), it becomes immutable. Verified records cannot be edited, hidden from the system, or deleted. This is by design and is essential to the integrity of the trust system.

4.3 Visibility Controls. While verified records cannot be deleted, you may have limited control over which records appear on your public profile, subject to platform policies. However, verified records remain part of your permanent trust history.

4.4 Accuracy Obligation. You agree that all information you provide in invoices, Shadow Ledger entries, and other records is accurate and truthful. Creating false, misleading, or fraudulent records is a material breach of these Terms and may result in:

  • Immediate account termination
  • Permanent ban from the Service
  • Legal action to recover damages
  • Reporting to relevant authorities

5. Trust Score

5.1 Calculation. Your Trust Score is calculated based on verified records, including confirmed invoices, Shadow Ledger entries, imported platform history, and reliability metrics. The specific algorithm is proprietary and not disclosed.

5.2 No Guarantee. The Trust Score is provided for informational purposes and does not guarantee future performance, creditworthiness, or suitability for any particular engagement. We make no representations about how third parties will interpret or use Trust Scores.

5.3 Disputes. Negative events (such as disputes resolved against you, late deliveries, or refunded payments) may negatively impact your Trust Score. We do not modify Trust Scores upon request except to correct technical errors.

6. Payment Terms

6.1 BYOP (Bring Your Own Payment). You may create invoices for payments settled externally (bank transfer, PayPal, Wise, etc.). These invoices become verified records upon client confirmation.

6.2 Stripe Payments. When using Vurrk's integrated Stripe payment processing:

  • Payments are collected into escrow until work is marked complete and confirmed
  • A mandatory Trust Fee is charged to clients (the percentage is set by Vurrk)
  • Funds are released after the confirmation window or upon client confirmation
  • Disputes may freeze escrow funds pending resolution

6.3 Trust Fee. The Trust Fee is mandatory on all Stripe payments and cannot be waived or modified. The Trust Fee provides client protection and funds escrow operations. The Trust Fee is retained by Vurrk regardless of dispute outcomes.

6.4 Disputes and Refunds. Clients may raise disputes on Stripe payments before funds are released. Dispute resolution is handled by Vurrk. We may release funds to you or refund the client based on our assessment of the dispute. Our decisions are final.

6.5 Stripe Terms. Use of payment processing is also subject to Stripe's terms of service. You agree to comply with all applicable Stripe terms and policies.

7. Subscription and Fees

7.1 Free Tier. Basic access to the Service is provided free of charge, subject to usage limits specified in our pricing documentation.

7.2 Paid Plans. Additional features and higher limits are available through paid subscription plans. Subscriptions are billed in advance on a monthly or annual basis.

7.3 Automatic Renewal. Paid subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings.

7.4 Refunds. Subscription fees are generally non-refundable. We may provide refunds at our discretion for unused portions of cancelled subscriptions.

7.5 Price Changes. We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing cycle.

7.6 Taxes. All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed on your use of the Service.

8. API Usage

8.1 API Access. API access is provided subject to your subscription plan and these Terms. API keys are confidential and must not be shared or exposed in client-side code.

8.2 Rate Limits. API usage is subject to rate limits based on your subscription plan. Exceeding rate limits may result in throttling or temporary suspension of API access.

8.3 Prohibited Uses. You may not use the API to:

  • Circumvent usage limits or security measures
  • Interfere with or disrupt the Service
  • Scrape, harvest, or collect data beyond authorized scope
  • Build competing services using our infrastructure
  • Violate any applicable laws or third-party rights

8.4 Key Security. You are responsible for securing your API keys. If you believe a key has been compromised, you must revoke it immediately and generate a new one.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Create false, misleading, or fraudulent records
  • Impersonate any person or entity
  • Harass, abuse, or harm others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service for money laundering or terrorist financing
  • Engage in any activity that could damage our reputation or the Service

10. Intellectual Property

10.1 Our Rights. The Service, including all content, features, functionality, software, and trademarks, is owned by Vurrk and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as expressly stated.

10.2 Your Content. You retain ownership of content you create (invoices, records, profile information). By using the Service, you grant us a license to use, store, and display your content as necessary to provide the Service.

10.3 Feedback. If you provide feedback or suggestions about the Service, we may use such feedback without obligation to you.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Termination

12.1 By You. You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.

12.2 By Us. We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Requests by law enforcement
  • Extended periods of inactivity
  • Discontinuation of the Service

12.3 Effect of Termination. Upon termination:

  • Your access to the Service will be disabled
  • Your data may be deleted after a retention period (except verified records)
  • Verified records remain in the system as part of the immutable trust record
  • You remain liable for any fees owed
  • Provisions that should survive termination will survive

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

We do not guarantee the accuracy, completeness, or usefulness of any Trust Score, and we are not responsible for how third parties interpret or use Trust Scores.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VURRK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) $100.

15. Indemnification

You agree to indemnify, defend, and hold harmless Vurrk and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit to the Service

16. Dispute Resolution

16.1 Informal Resolution. Before initiating any formal proceedings, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.

16.2 Governing Law. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

16.3 Jurisdiction. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16.4 Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

18. General Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Vurrk regarding the Service.

18.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure. We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

18.6 Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
